ODEN reserves the right to refuse registration or cancel accounts at its discretion, particularly in cases of misrepresentation, ineligibility, or violation of these Terms.
Users of the ODEN Platform agree to engage professionally and ethically at all times. The following activities are strictly prohibited:
ODEN reserves the right to remove any content and suspend any user account that violates these conduct standards, without prior notice or liability.
All content available on the ODEN Platform — including but not limited to text, graphics, logos, icons, images, audio/video materials, CME modules, slide decks, clinical newsletters, case reports, and software — is the exclusive intellectual property of ODEN or its licensed content partners and is protected under applicable copyright, trademark, and intellectual property laws.
Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use Platform content solely for personal, non-commercial, educational purposes. Any unauthorized reproduction, redistribution, modification, or commercial exploitation of ODEN content is strictly prohibited and may result in legal action.
The ODEN name, logo, and all related marks are registered trademarks of ODEN – Obesity Doctor Engagement Network. Use of these marks without prior written consent is not permitted.

ODEN makes no warranties regarding the accuracy, completeness, or currency of medical information on the Platform and shall not be held liable for clinical decisions made by healthcare professionals based on Platform content.
ODEN provides accredited and non-accredited continuing medical education content in partnership with recognized accreditation bodies. With respect to CME participation, users agree to:
ODEN reserves the right to modify, suspend, or discontinue any CME program at any time. CME credit values and accreditation status are subject to change per the policies of the relevant accrediting body.
Where the Platform allows users to submit content (including discussion posts, comments, case contributions, or forum responses), you retain ownership of your submissions but grant ODEN a non-exclusive, royalty-free, worldwide license to use, display, and distribute such content within the Platform for educational purposes.
You are solely responsible for ensuring that any content you submit: (a) does not contain patient-identifiable information; (b) complies with applicable professional and ethical standards; and (c) does not infringe upon third-party intellectual property rights. ODEN reserves the right to remove any user-generated content that violates these standards.
Your use of the ODEN Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, processing, and use of your information as described therein. We encourage all users to review the Privacy Policy in full to understand how their data is managed.
To the fullest extent permitted by applicable law, ODEN and its officers, directors, employees, partners, and agents shall not be liable for:

Upon termination, your right to access the Platform will cease immediately. Provisions of these Terms that by their nature should survive termination (including Sections 5, 6, 8, 10, and 12) shall remain in full force and effect.
These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States of America, without regard to its conflict of law principles.
Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to binding arbitration administered under the rules of the American Arbitration Association (AAA), with proceedings held in New York, New York. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights.
